PAYMENT TERMS 付款方式
35 % down payment at the contract signature by T/T Bank
65% of the contract value should be paid by T/T bank:
--60% of the contract value should be paid by TT bank against the test certificate at the Seller’s workshop before shipment;
--The balance 5% can be negotiated against test run certificate in buyer’s workshop.
合同签订好时电汇付款货款的35%作为定金；
65%合同金额以电汇付款如下：
--60%在设备发货前，以卖方地设备验收单电汇支付65%的合同金额给卖方；
--5%凭买方地验收报告议付。

TRAINING AT THE SELLER’S PLANT 在卖方工厂培训
During the machine test at Seller’s plant the Buyer can send his staff for a free training period.
Food expenses within 10 days for 2 people will be at Seller’s charge while hotel and return air tickets will be at Buyer’s charge.
设备在卖方工厂调试期间，买方可派其人员进行免费培训。10天内2人的就餐费用由卖方承担，住宿以及往返差旅费用由买方自行承担。
MACHINE TEST AT THE SELLER’S PLANT AND TEST AT BUYER’S PLANT卖方和买方工厂验收
The machine will be tested in the Seller’s plant and all sizes and shapes foreseen in the contract will be tested, at the presence of a buyer’s technician, using raw materials supplied by the Seller.
卖方工厂验收: 在买方技术人员到达验收现场的情况下,合同中约定的所有规格和形状的产品均需要进行测试/验收;验收材料由卖方提供.
Buyer’s engineers should be at attendance of check& acceptance test according to time and schedule fixed by the Seller. 15 minutes of constant production (at standard production speed ) of the machine for M size need to be done to check quality ,function and production of the machine (for other size :5 minutes for each size at the standard production speed ).To pass the rest the efficiency rate has to be more or equal to 85% ,.while the waste rate has to be less than 3%.
在买方技术员到达验收现场的情况下，合同中约定的所有规格和形状的产品均需要进行测试/验收；验收材料由卖方提供；
买方人员需按照卖方的日程安排和要求按时参加设备的验收。中号连续运行10分钟（以标准生产速度）以检查设备的质量、功能和生产状况。其他规格运行5分钟，要通过验收开机率达需达到85％，废品率低于3％。
Test run certificate need to be signed in duplicate by mutual parties at the end of the test .
验收结束后，双方签署设备验收报告一式两份。
The signature of the Test run certificate authorizes the shipment of the machine.
签字的验收报告单作为卖方发货的依据。
The final acceptance test, to be done in the Buyer’s plant and raw materials cost will be at Buyer’s charge.
设备的X终验收在买方工厂进行,验收材料由买方提供。买方需保证提供合格的材料，以适应设备生产。往返差旅费以及食宿费用，在当地的交通费用由买方承担。
Test run at buyer’s site, the machine operated by Buyer’s technicians with the support of the Seller’s technicians,
在买方工厂验收，机器由买方人员在卖方技术员的支持下进行操作。
Production losses, during the test, for Buyer responsibility (no constant raw materials quality, no on time raw material refurnishing, electrical power supplying problems, and any other factory problems, will be deduct from the total production amount.
在验收过程中，如果由于买方的下列原因：没有提供保质保量的原材料，没有连续的电源供应，以及其他工厂方面的问题造成的生产损失，将从总产量中扣除。
INSTALLATION AT THE BUYER’S PLANT/买方工厂验收
Installation and start up of the machine at Buyer’s plant will be followed by Seller’s technicians, while is Buyer responsibility the transportation on the place and any other ancillary works necessary to the machine installation (Power connection, air compressed connection, piping to and from the machine.)The commission cost of the machine is included and it is foreseen the presence and work of 2 technicians for 3 weeks for 8 working hours and it will be extended if the installation and test is not finished. All the expenses for return air tickets, meals and accommodation and local transportation will be at Buyer’s charge.
设备的安装和调试由卖方技术员负责。同时，买方负责设备的运输以及安装过程中必要的辅助工作（包括需要接入设备和从设备接出的电源、压缩空气管道的连接）。设备的安装和调试费用包括在价格中，工作量预计需要两名技术人员每天工作8个小时，共计3周。如果安装和验收没有通过，周期可以顺延。在买方地卖方人员的国外往返差旅费，食宿费用以及当地交通费用均由买方承担。
GUARANTEE质量担保
All the parts directly manufactured by the Seller are guaranteed against defect in material and workmanship for a period of 12 months, starting from delivery date.
从发运之日起12个月内，卖方对直接生产的部件的材料和工艺提供质量担保。
Each part that shows to be defective during the above mentioned period will be changed, all or in part, by the Seller, provided that the Purchaser returns, within 30 days from defective communication date, the defective material to the Seller if the seller requires it. Transport expenses will be at seller’s charge. 有任何部件或其中一部分损坏，卖方负责更换。如果卖方要求，损坏部件在报告之日起30天之内返回给卖方。运输费用由卖方承担。
Parts incorporated in the machine subject to normal wear and tear are not covered by the present warranty.
部件的正常磨损和损坏不包含在上述保修范围内。
NOT REPRODUCTION CLAUSE 不可复制条款
The Client commits itself not to reproduce, wholly, partially, directly or indirectly by third party, the machine or part of it, for any other reason that employ such parts as replacement for broken/worn parts of the machine.
买方承诺不自行复制或通过X三方复制该设备或其中的部件，不得以任何理由将这些部件用于更换设备上损坏的部件。
The Client commits itself neither to show the machine nor to give technical documentation such as manuals, electrical and electronic sketches, to our Competitors.
买方承诺不把该设备和相关技术资料（如操作手册、电气原理图等）提供给卖方的竞争对手。
Moreover, the Client commits itself not to sell or give under any conditions the machine to our Competitor during a period of first four years from the B/L date.
而且，买方承诺不以任何原因在提单签发之日起4年内卖给卖方的竞争对手。
FORCE MAJEURE 不可抗力
We shall not be responsible for any delay or loss or failure in carrying out its obligations which is caused wholly or partly by acts of God, strikes, or other labor disputes, fire, wars, accidents, government action or any other cause reasonably beyond its control. We shall not be liable for any injury, loss or damage, direct or consequential, arising out of the use or inability to use or non-use of the machine/s or part of it, object of the Client’s order. The Client assumes all risks and liabilities whatsoever in connection with the object of his order once the ownership has passed to him from us.
由于天灾、罢工或其他劳工纠纷、火灾、战争、事故、X行为等其他不可抗力原因造成的卖方延迟交货、货物灭失或不能交货，卖方不承担任何责任。卖方对由于买方要求直接或随后造成的损伤、灭失、损坏而导致整机或部分不能使用，没有能力使用，没有使用不承担责任。由于客户要求自设备所有权交付买方之日起，所有的风险由买方承担。

GENERAL FRAME/机架墙板:
Composed by modules, the frame wall and base plate adopt 6 faces manufacturing style, with
standard dimensions, in welded steel painted by four coats of paint .
模块化全焊接机架，机架墙板及底板采用六面机加工方式，由四层涂料喷涂，标准墙板厚度。

RAW MATERIAL UNWINDING UNITS/原材料开卷装置:
Full automatic unwinding modules are allowed in line in order to drive and to control the tension of: top NW , fiber tissue , bottom N.W. . Each of these units is provided by servo motors to unwind through spindle shaft, alternatively, the two rolls of raw material and unit “0-speed splicer” is provided to joint and cut the starting and the finishing roll. Finally a dancer, a metering device and an edge guiding unit complete each unwinding module. Splices (change of the rolls) are to be done at the standard working speed of the machine, without any speed reduction.
主要原材料（面层无纺布，纤维纸，底层无纺布）在线主动开卷，“0”速换接料，配备纠偏装置。每套原材料开卷采用伺服马达控制。
CONVEYOR BELT SYSTEM/输送系统：
Under vacuum belts, allowed along the machine, are provided to pull and to drive the web. Each group of conveyor, with same speed, is driven by same servo motor in order to set and control the web tension; a special valve is provided to adjust the vacuum level under the belt. The face of conveyor unit need to coat thicken chromium .
整机负压输送，输送带伺服驱动，以控制物料的张力。配备调节阀来调整负压。输送件表面要镀铬处理，加厚镀铬层。
AUTOMATIC QUALITY CONTROL SYSTEM/质量控制系统:
This system includes hardware and software for an automatic control of the following diaper parameters:

If product do not meet the preset parameters, the faulty products will be automatically rejected through the reject gate.

PULP UNWINDING STAND:木桨开卷料架
2 rolls of cellulose pulp, max diameter1400 mm, width508mm, including water spray system, are allowed on the pulp stand to feed mill.
可放置两卷木桨，X大料卷直径1.4米，宽度508 mm，料卷架上配置洒水系统
HIGH SPEED CELL MILLS/高速粉碎机：
Single mills, specially studied for untreated pulp, are supplied. Air flow trough the mill is carefully studied in order to control the fluff outlet and the fluff distribution on the forming area.
一台单进口齿片式粉碎机，X用于未处理桨。成型箱内的负压经过仔细研究来控制木桨的出口和分布。
DRUM FORMING MODULE/脱膜成形系统
One drum forming module, in accordance to the pad composition, will be installed on the line. And it has a drum with continuous pockets, a fluff chamber directly connected to the cell mill installed on the top of the module, and a take away system to pick and to compact the fluff layer. The conveyor belt, already conveying the glued tissue , receives the fluff layer and moves it to the next station.
单模轮连续脱模成型，成型箱连着粉碎机，粉碎机安装在模轮的顶部。输送皮带将木桨和喷胶的卫生纸带到下个工位。
SAP APPLICATOR/高分子施加装置:
The machine will install 1 sets of unit .Two kinds of SAP will mixed apply to core by 1 set of forming unit . The quantity will be set in IPC unit .
设备上安装1套高分子施加装置，将两种不同的高分子通过一套成型机构混合施加在棉芯里，施加的量可在工控机上调节
CORE CUTTING UNIT/棉芯切断装置
Cross cutting unit with standard rotating knife and conveyor belts to space pads each other, cuts the fluff mat wrapped by tissue;
棉芯切断装置采用标准的切刀，棉芯由卫生纸包覆。
END SEALING UNIT/端部压纹:
The hot sealing unit will sealing lefe and right sides of products after products processed by wrapped and compressed .
The folded and compressed web is driven by the cross sealing unit where a precision system provide to seal the right and left side of the product. Special embossed rolls, heated at a temperature appropriate to the material composition, driven by servo motors perform this action. This unit will be heat sealing with new 3 rollers structure which can be reach higher speed.The materials need to confirm by both side .
产品经过包覆，压实后，用热压装置焊产品两侧。该装置根据材料的特性，加热到适当的温度，用特殊的压花辊，伺服电机控制。
FINAL CROSS CUTTING UNIT/成品切断装置:
The sealed web is cut and separated in single product by a unit composed by knife, assembled on a turning shaft, and an anvil under vacuum necessary to keep stabile and firm the elasticized product during the cutting action. Special care and belts are adopted to drive the product to and from the unit.
焊接好的物料到成品切断工位，将物料切成X立的产品。该装置由成品切刀、底刀辊组成。
REJECT GATE/剔废口:
A reject gate is foreseen after the cross cutting unit and it is operate every starts and when the product is not conform to the quality standard. It is operated by compressed air jet. The unit, controlled by the central PLC, or by means of a button for the manual operation, assures an automatic reject of the faulty diaper.
剔废口位于成品切断之后，主要用于每次设备启动或产品质量没有达到要求时，废品剔除。气动控制。该装置由主PLC通过一个手动的按钮来控制，确保废次品被剔除。
PNEUMATICS/ELECTRONICS/SAFETY and other COMPONENTS/气动/电气元件的安全和其他事项:
Unless a specific agreement between Seller and Buyer the primary brand components are used in order to guarantee working stability, safety and to minimize the assistance. List of components and brands are on the Annex.

TECHNICAL DOCUMENTATION/技术资料
Technical documentation including mechanical, electrical and pneumatic commercial part manuals, operator manual, electric diagrams, PLC program printout and software, mechanical drawing and spare part list, is provided with the machine.
提供全套英文版的技术资料，包括机械、电气和气动元件操作手册，电气图，PLC软件文字版和电子版，机械图纸和备件清单。
